During the negotiations leading up to any deal, terms often change, which can complicate the effort to secure reps and warranties insurance.

Thomas Bonfiglio makes sure carriers understand why — and that they stay the course on their coverage, said an executive at a technology company.

“He does a really excellent job of understanding what the dynamics are that we are working with, as well as understanding enough of our business and the acquired entity business to be able to convey where there’s actual risk changes versus where it’s just a negotiation change,” said the executive, who noted that terms changed at least five times on one recent deal.

Central to Bonfiglio’s approach is his ability to get clients to open up about what is happening so he is aware of any potential red flags for insurers, the executive said.

“He spends time investing in understanding what a client needs,” the executive said. “So when you talk to him, you feel heard.”

Ethos Specialty, a managing general underwriter based in New York, has worked with Bonfiglio to develop RWI solutions for smaller deals, said Navine Aggarwal, an executive vice president for Ethos.

“Bonfiglio has been an “instrumental partner in the search for a solution,” Aggarwal said, “and I think we’ve come up with something that really works well for everyone.”
