Acquiring assets from a company with a history of recalls causes insurers’ lights to blink red, as IMMI discovered in 2020 when pursuing a large deal.
Aashish Chauhan at Hylant evaluated the “quality of risk” that IMMI was considering taking on and “tenaciously” detailed the target’s risks and insurance coverage, said Matt King, general counsel at the designer and provider of safety solutions.
“He uncovered areas that were landmines and helped us diffuse them,” King said. “[And he defined] the extent of the risk of recalls so we were ultimately able to limit it and get to the best deal for the company.”
Post-deal, King added, Chauhan held carriers’ premiums steady, despite potential new liabilities, arguing the pandemic’s negative sales impact was offset by the acquired company’s additional sales.
“So premiums shouldn’t change, and the insurers agreed, savings us a lot of money,” King said.
Chauhan’s communication with carriers has been key.
Matt Frazier and Joseph Labella, respectively VP and general manager at AutoBase, recalled a Zoom call organized by Chauhan enabling the company to describe its needs directly to more than a dozen carriers.
The opportunity was invaluable, Frazier said, given the company’s unique traffic-incident-management business.
